大股东对苹果提起诉讼 反对停发优先股

　　新浪科技讯 北京时间2月9日上午消息，美国对冲基金绿光资本(Greenlight Capital)掌门人大卫·埃因霍恩(David Einhorn)本周四在曼哈顿地区法院对苹果提起诉讼，试图阻止苹果在公司章程中删除有关优先股的条款。埃因霍恩正在施压苹果，希望苹果利用其1370 亿美元现金发行永久优先股，作为向当前股东派发的股息。
　　优先股成为争议焦点
　　埃因霍恩认为，苹果违反了美国证券交易委员会(SEC)的相关规定。根据规定，在股东为某一动议投票时，企业不得将无关事宜与动议相绑定。不过法律专家认为，判定苹果是否违反了相关规定非常微妙，此前并没有类似案例出现，而SEC的规定也很宽泛，并未给出如何施行的指导意见。
　　不过，杜克大学法学院教授詹姆斯·考克斯(James Cox)认为，埃因霍恩把握住了问题的关键，提出了一个很好的案例。埃因霍恩希望法庭发出禁令，阻止苹果在2月27日的股东大会上推动对这项动议的投票。他认为，苹果违反了美国1934年《证券法》的第14章。美国地区法官理查德·萨利文(Richard Sullivan)将于2月22日对本案进行听证，苹果对本案做出回应的最后期限为2月15日。

　　绿光资本在起诉书中表示，支持苹果三项提议中的两项，但不支持有关优先股发行的一项。埃因霍恩希望苹果以优先股，而非股息或股票回购的方式来回馈股东，他还提出苹果应当发行相当于4%股息的永久优先股。埃因霍恩认为，由于苹果对代理动议进行捆绑的行为，股东要么只能投票支持他们反对的做法，要么只能投票反对他们支持的做法。
　　苹果此次还有5项动议需要投票表决。这些动议不涉及修改公司章程，也没有遭到埃因霍恩的反对。这些动议主要关于董事选举和高管薪酬等方面的问题。(维金)
