戴尔私有化交易最后期限为11月5日

　　新浪科技讯 北京时间2月7日上午消息，戴尔在提交给美国证券交易委员会(SEC)的文件中称，如果该公司的私有化交易无法在11月5日前完成，迈克尔·戴尔(Michael Dell)和银湖资本便可放弃这笔总额244亿美元的杠杆收购。
　　戴尔在文件中透露了各方的出资额以及协议终止条款。银湖资本承诺提供14亿美元股权融资，迈克尔·戴尔本人则会投资5亿美元增持股票。
　　经过了6个月的谈判后，迈克尔·戴尔和银湖资本于周二达成协议，共同对戴尔展开私有化。这也是2007年以来规模最大的一宗杠杆收购交易。戴尔正在移动和云计算市场努力追赶竞争对手的步伐，并突破PC业务的局限。但PC目前仍为该公司贡献了一半的销售额。
　　迈克尔·戴尔还同意使用他手中的股权重新夺回控股权。另外，微软也将为该交易提供20亿美元贷款，迈克尔·戴尔的投资公司也会提供2.5亿美元现金。
　　根据协议条款，倘若戴尔接受其他竞购方的要约，就需要向该财团支付1.8亿或4.5亿美元违约金。在特定情况下，戴尔还可以诉诸法律，强迫该财团完成交易，或要求其支付7.5亿美元违约金。
　　迈克尔·戴尔还表示，倘若董事会或4人组成的特别委员会提出要求，他将真诚地与任何给出候选收购要约的第三方展开合作。
　　如果美国国会改变税收政策，允许迈克尔·戴尔滚转(roll over)他所持有的公司股票，而不必缴纳税款，收购方可能会支付2.5亿美元终止费退出该交易。
　　戴尔已经制定了45天的"观望期"。在此期间，该公司的特别委员会以及顾问公司Evercore Partners可以寻求其他收购要约。倘若其他交易在此期间胜出，戴尔需要支付1.8亿美元违约金。如果是在"观望期"后，则要支付4.5亿美元违约金。
