掌趣科技拟8.1亿元收购动网先锋100%股权

　　新浪科技讯 2月5日上午消息，掌趣科技(300315.SZ)近日发布公告称，拟作价8.1亿元全资收购主营页游的动网先锋100%股权，交易将以现金+新发股份方式完成。去年动网先锋网页游戏业务收入1.47亿元，同比增长81.9%。
　　此次交易中，掌趣科技将以发行股份及支付现金方式购买宋海波等10名股东持有的动网先锋100%的股权。其中，以支付现金方式购买王贵青、李智超、广州肯瑞、广州联动持有的动网先锋全部股权，以 50%发行股份及 50%支付现金的方式购买宋海波、李锐、张洁、陈嘉庆、韩常春、澄迈锐杰持有的动网先锋全部股权。
　　掌趣科技表示，收购动网先锋有利于提高整体竞争能力及募资使用效率。
　　动网先锋成立于2002年，初期主要从事互联网论坛软件和技术服务。2008年起，动网先锋进入页游领域，先后推出《商业大亨OL》、《富人国》等产品。
　　披露的数据显示，动网先锋2012年总收入1.52亿元，净利润5661万元；2011年总收入8360万元，净利润1447万元。去年动网先锋网页游戏业务收入1.47亿元，同比增长81.9%。2010年前后动网先锋曾宣称开始筹备上市。(舒石)
